Ferguson to Acquire FloWorks for $1.6B

Plumbing and industrial distribution company Ferguson announced that it has reached an agreement to acquire valve and flow control counterpart FloWorks in a deal valued at $1.6 billion.

FloWorks — officially named FWI Holdings Inc. — is based in Houston and operates more than 60 locations across the U.S. and Canada. The company serves “highly technical industries” including chemicals, refining, power generation, semiconductors, pharmaceuticals and data centers. Ferguson officials said that the business generated $1 billion in revenue in 2025.

Ferguson said that adding FloWorks would expand its value-added capabilities in the non-residential construction market and increase its total addressable market to some $400 billion. The company expects to see “significant revenue synergies” from the deal, as well as cost synergies tied to “network optimization, logistics and technology.”

The transaction is expected to close in the third quarter of the year, pending approval from antitrust regulators and other closing conditions.

“FloWorks strengthens our leading position in high-growth industrial end markets, while adding meaningful capabilities and geographic coverage which we can leverage across our non-residential customer groups,” said Ferguson CEO Kevin Murphy. "Their expert teams, technical capabilities and strong OEM brands will further enhance our ability to provide essential water solutions for the specialized professional."
